1. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the orinote.ai website and the Orinote AI medical documentation platform (the "Service") operated by Orinote Technology Inc. ("Orinote", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of the Service
Orinote provides an AI-powered medical documentation platform that assists healthcare professionals with:
- Transcription of patient-provider conversations.
- Automated generation of clinical notes and medical records.
- Document analysis and summaries.
- Multi-language translation support for clinical documentation.
- Integration with practice management systems.
3. Eligibility and Account Registration
The Service is intended for licensed healthcare professionals and authorized personnel within healthcare organizations. By registering for an account, you represent that:
- You are at least 18 years of age.
- You are a licensed healthcare professional or authorized to use the Service on behalf of a healthcare organization.
- The information you provide during registration is accurate and complete.
- You will maintain the security of your account credentials.
4. Acceptable Use
You agree to use the Service only for its intended purpose of clinical documentation. You must:
- Review and verify all AI-generated notes, transcriptions, and clinical documents before incorporating them into official patient records.
- Not rely on the Service as the sole source for medical diagnoses, treatment decisions, or clinical recommendations.
- Obtain appropriate consent from patients before recording conversations using the Service.
- Comply with all applicable healthcare regulations, data protection laws, and professional standards.
You must not:
- Use the Service for any unlawful purpose.
- Reverse-engineer, decompile, or disassemble the Service.
- Share your account credentials with unauthorized individuals.
- Attempt to access systems or data beyond your authorization.
- Use the Service to generate content that is misleading, fraudulent, or harmful.
- Scrape, mine, or extract data from the Service using automated tools.
5. AI-Generated Content Disclaimer
The Service is an assistive tool, not a replacement for professional medical judgment. AI-generated transcriptions, notes, and analyses may contain errors or inaccuracies. Healthcare professionals are solely responsible for:
- Reviewing and approving all AI-generated content before use.
- Ensuring the accuracy and completeness of all patient records.
- Making clinical decisions based on their professional judgment.
- Complying with applicable medical record-keeping requirements.
Orinote does not provide medical advice, diagnoses, or treatment recommendations. The Service is not intended to replace the professional relationship between a healthcare provider and their patient.
6. Customer Data
You retain all ownership rights to the data you input into or create through the Service ("Customer Data"), including patient records, transcriptions, and clinical notes. We process Customer Data solely to provide and improve the Service, as described in our Privacy Policy.
- You are responsible for the legality and accuracy of Customer Data.
- Upon termination, you may request export of your Customer Data within 30 days.
- We will delete Customer Data within 30 days of account termination, unless retention is required by law.
7. Intellectual Property
The Service, including all software, algorithms, designs, trademarks, and content (excluding Customer Data), is the exclusive property of Orinote and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription period.
8. Payment and Billing
- Subscription fees are billed according to the pricing plan selected during registration.
- Fees are non-refundable except as required by applicable law.
- We may change pricing with 30 days' advance notice.
- Failure to pay may result in suspension or termination of access.
- All prices are exclusive of applicable taxes (VAT/PVM), which will be added where required.
9. Service Availability
We strive to maintain 99.5% uptime for the Service. However, the Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible).
- Emergency maintenance or security updates.
- Circumstances beyond our reasonable control (force majeure).
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
- Orinote shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
- We are not liable for any clinical decisions made based on Service-generated content.
11. Indemnification
You agree to indemnify and hold harmless Orinote and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights.
- Clinical decisions made using Service-generated content.
12. Termination
Either party may terminate the agreement:
- With 30 days' written notice for convenience.
- Immediately for material breach that remains uncured for 15 days after notice.
Upon termination, your right to access the Service ceases. You may request export of your data within 30 days of termination.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Lithuania. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of the Republic of Lithuania.
14. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the Service with at least 30 days' notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
